Drafting Workshop: Partnership & LLC Documents

Professors Marshall Tracht and Alan Cohen

Students will initially examine the legal rules that govern the formation, governance and operation of partnerships, limited liability companies, and joint ventures and examine sample documents from various types of transactions.  The majority of the course will be devoted to negotiating and drafting sections of these documents for particular business transactions while exploring the legal, tax and business conflicts that drive the process.

Pre-requisite Course: Real Estate Transactions & Finance, Corporations and one other drafting course.
