THE PUBLIC DOMAIN IN COPYRIGHT LAW

I.  Introduction 

	In his Pulitzer Prize winning book, Godel, Escher, Bach: An Eternal Golden Braid, Douglas Hofstadter produces a list of nonprime numbers, and contemplates whether the "holes" -- the prime numbers -- have a "form."

"Now the [nonprimes] all have a common "form", that is, originate from a common set of . . . rules. . . .  Do the holes [the primes] also have some "form" in common?  Would it be reasonable to say that merely by virtue of being the holes in this list, the
y share a common form?  Yes and no.  That they share some . . . quality is undeniable, but whether we want to call it "form" is unclear.  The reason for hesitating is that the holes are only negatively defined -- they are the things that are left out of a
 list which is positively defined."1
	
	In the field of copyright, we might ask a similar question about the status of "the public domain."  Is the public domain simply whatever is left over after various tests of legal protection have been applied?  Is it the mere "background," the "negative"
 of whatever may be protected?  Or is there something about the public domain, some compelling public policy or legal principle, that gives it a life of its own, that would tend to attribute positive aspects to it, that would make it something of the form
 instead of just the background?  Several authors have suggested that such a theory may exist,2 even though they have been unable to articulate exactly what its parameters might be.  As opposed to a theory of the public domain, one could also conclude, as
 in section II of this article, that there is no such animal: the public domain is simply whatever remains after all methods of protection are taken into account.  

	Section III of this article identifies several distinct categories of works or aspects of works which might be considered in the public domain, and concludes that, if anything, the current trend in copyright law has been to increase the protection of wor
ks, and concomitantly to decrease the scope and importance of the public domain.  Section IV relates public domain analysis to several other basic principles of copyright law.

II.  A "Theory" of the Public Domain?

	Perhaps the best argument in favor of recognizing the public domain is that of Prof. Lange, who suggested in a 1981 article that a theory of the public domain might be constructed, and made some preliminary suggestions for increasing sensitivity to its i
mportance.3  Yet, Prof. Lange's primary evidence of a "theory of the public domain" was contained in an extended footnote.  His conclusion was that "Remarkably little direct attention has been paid to the public domain in recent years."4   About all he wa
s able to find in the literature that recognized a theory of the public domain were articles by copyright scholars who, like him, were hesitant to recognize expanding theories of protection, and who were thus presumed to be protective of the public domain
.5  The "public domain" is thus not so much a theory as a tendency to resolve borderline or new cases in favor of nonprotection rather than protection.6 

	Earlier members of the public domain club are difficult to identify directly, precisely because very little attention was paid to the public domain as such.  As Prof. Lange suggests, we must identify them by their "low protectionist bias," as, for exampl
e, in the writings of Prof. Benjamin Kaplan.7  In general, Prof. Kaplan seems concerned about the "excessive reification" of copyright principles,8 such as the property law analogy9 or the "cult of originality."10  Although he might appreciate the reifica
tion of the public domain to counteract the principles that have been idolized and idealized by the protectionists, I trust that Prof. Kaplan would resist reification of the public domain as well.  Indeed, Prof. Kaplan's contribution to copyright law seem
s to have been marked by a particular skepticism about abstract principles.11  

	Similarly, Lange cites Prof. Ralph Brown "for his persistent expressions of concern for the public domain."12

	A more recent and sustained effort to promote the public domain is contained in a 1990 article by Prof. Litman.13  The primary thrust of her article is that the concept of "originality" is "a conceit,"14 a "legal fiction,"15 "a poor substitute for tangib
le boundaries among parcels of intellectual property because it is inherently unascertainable."16  Instead, she proposes that a theory of the public domain can somehow "rescue us" from the dilemma that arises from our inability to delineate originality.17


	I fundamentally disagree with both propositions.  To begin with the concept of "originality," I agree with Professor Litman that the process or definition of authorship is "equivocal," or difficult to pin down in some cases, but it is hardly a fiction.  
It may be true that any work of authorship in fact draws upon dozens or hundreds of other works, and that any work is necessarily a recombination or transformation of what has gone before.  Yet, the whole point is that copyright can only be claimed in tho
se elements of the work, small as they may be, that the author has contributed.18  There is a fallacy in jumping from the observation that no work is totally original to the conclusion that no work is at all original, or that we can't find some originalit
y even in modest works.

	The concept of originality makes sense despite the fact that no plaintiff could actually prove the total originality of a work.19 The courts bypass the problem by effectively adopting a presumption that a work is original unless it is proven not to be, t
hus shifting to the defendant the burden of proving nonoriginality, or at least the burden of raising the issue.20  This is not a devious or unsatisfactory device that confuses the issues, since presumably the vast majority of works upon which suit is bro
ught are in fact original in the modest copyright sense of the word, or the defendant is sufficiently able to raise the issue if nonoriginality is suspected.21  

	Even if originality should prove to be as slippery a concept as Prof. Litman assumes, her substitute proposal is no improvement over what she criticizes.  She defines the public domain as the "commons that includes those aspects of copyrighted works whic
h copyright does not protect" -- that is, the term is defined negatively, based upon what is not protected.  This negative definition can hardly be more clear than the positively stated one in terms of originality.22 

	In their recent book, The Nature of Copyright,23 Professor Patterson and Mr. Lindberg make the most extensive recent argument in favor of the public domain.  They argue that many of the basic principles of copyright protection are fictions or fallacies t
hat have led to an overexpansion of federal and state rights.24  They characterize the original Statute of Anne not as a major expansion in the protection of works, but as actually creating a public domain, by limiting the duration of protected works and 
by requiring formalities.25  The authors identify the historical development of principles to limit the scope of copyright, and try to document instances in which a failure to appreciate the interests of copyright users -- which interests are presumably a
ligned with the interests in the public domain -- has led to improper developments in the law.26

	Patterson and Lindberg do not propose a "theory" of the public domain, but argue for a cautious interpretation of the scope of copyright law based upon their reading of history and policy.  Given their skepticism of copyright fictions or fallacies, I tru
st that they do not intend to elevate the public domain to some theoretical framework that it has not historically been.

	Nevertheless, there are presumptions in their analysis about which reasonable people may certainly disagree.  Their characterization of the Statute of Anne as "creating" a public domain, their description of the development of fair use and other limitati
ons upon copyright and the emergence of compulsory licenses, and their constant reference to policies such as the "promotion-of-learning" policy, the "preservation-of-the-public domain" policy, the "implied right of access," the "limited-protection princi
ple," the "statutory-monopoly principle," or even the "scope of the right to copy"27 might lead to the impression that copyright history represents a continual assault and limitation upon that pernicious monopoly practiced by the stationers' companies in 
the sixteenth century.28  In fact, a brief review of copyright history reveals that it has represented a continual expansion of protected rights and a decrease in the works that are part of the public domain.29	

	To be sure, there are plenty of limitations upon the scope of copyright protection, as well there should be.  Many of these limitations, however, were created in response to major copyright expansions, and are therefore ultimately part of copyright's exp
anding scope.  For example, the fair use doctrine was hardly needed in 1790.  At that time, the only exclusive rights of copyright were the rights to print, reprint, publish, or vend the work.  There was no need to set forth what was "fair use," because a
ny use other than printing, reprinting, publishing, or vending was "fair."  Only as copyright law expanded to include other "uses" within the exclusive rights of copyright30 did we need a limiting doctrine, which came to be known as the fair use doctrine.
  The existence of the limitation proves the extent of the expansion!31  Of course, Patterson and Lindberg recognize, even emphasize, the above history, but somehow conclude that it proves only the limitations, without taking into account the overall expa
nsive trend.  They describe the limitations as proving the essence of copyright, and the expansions as being based upon historical mistakes and misunderstandings of legal fictions.  A reasonable person could just as easily reverse the characterizations.

	In similar vein, most of the compulsory licenses in the current statute were passed when copyright was expanded to new areas.  For example, the original phonorecord compulsory license32 was adopted to allow copyright protection against mechanical reprodu
ction of records when the Supreme Court had earlier held that such mechanical reproduction did not constitute copying;33 the jukebox compulsory license,34 recently retired,35 was a political compromise to allow the expansion of rights to include the playi
ng of music in jukeboxes, when the prior law had been interpreted as not extending so far.36  And the cable compulsory license37 was enacted to allow some compensation for cable retransmissions when the Supreme Court had earlier held such transmissions no
t covered by copyright.38  Thus, the compulsory license is not historically a method of limiting copyrights so much as a compromise method of expanding rights cautiously into new areas.  

	Having characterized the early copyright law as a limiting and not an expansive doctrine, Patterson and Lindberg argue that the early principles at work in the Statute of Anne are particularly relevant in our own time.  They claim that "[t]ime has change
d neither the function of copyright nor the evils of an unchecked monopoly."39  I find this an incredible conclusion, given the tremendous expansion of copyright law to include dozens of types of works, including music, sculpture, photographs, computer pr
ograms, and architectural works, that simply were not covered in the early law, and the expansion of the scope of protection to include several key exclusive rights, such as the right to derivative works, translations, and performance rights, that were no
t originally covered by federal copyright law.40  One can only ignore the tremendous shift in the scope of copyright law -- and, I would argue, an implicit shift in the underlying policies and principles of copyright law -- by characterizing the considera
ble changes as based upon "fiction" or "fallacy."41 

	Even if some of the major developments in copyright law are based upon legal fictions, that does not undermine their very real effect.  Legal fictions are one of the great inventions of the common law42 that allows the law to develop and grow.  To cite a
n example, copyright law in the 1960's and 1970's was expanded, mainly without statutory change, to include computer programs as protectable under the copyright law.  Critics might -- and did -- argue that such an expansion of copyright law represented a 
"fallacy" in the understanding of copyright basics, and that the extension was achieved only by a legal fiction about the nature of copyrighted works.43  Nevertheless, the leap was made, and within twenty years it has become indisputable that the copyrigh
t law, whatever its original purpose, now includes the protection of computer programs.  The expansion did not represent a blind or unknowing application of a legal fallacy, since there were those in the debate who were lucidly making the argument at ever
y stage that computer programs were not and should not be protected under the existing copyright law.44  It may be that realism, or the reality of the market place, influenced the scholars, the administrators, the Congress and the courts to expand the law
, but it is now a "done deal."  If the basic principles of copyright law are inconsistent with the protection of computer programs, then the basic principles of copyright law have been changed, because computer programs are indeed protected.45  The fictio
n, if one there was, has become the reality, by choice and not by happenstance.

	It is of course appropriate to look back to the origins and history of copyright law to try to discern the basic tenets.  But the law moves on, and we should not be stuck with the strict construction of old statutes, particularly, as in the case of copyr
ight law, when the statutes themselves get amended to reflect the new reality.46

	Another entry in the public domain club is Prof. Wendy Gordon.  In a recent article,47 she tries to root modern copyright law in John Locke's theory of natural law, including limitations of that theory that would cut back on certain rights of intellectua
l property owners.  In particular, she aligns the public domain with Locke's "intangible common" that recognizes "significant property rights of the public."48  She argues that "no natural right to property could exist where a laborer's claims would confl
ict with the public's claim in the common."49  More particularly, she applies Locke's "proviso," that individual property rights are conditioned upon there being "enough and as good left in common for others," to the public domain, arguing that an intelle
ctual property owner's rights should not be interpreted to allow any diminution in the existing "commons," the public domain.

	The argument is interesting, but, I think, ultimately flawed.  First, it is not at all clear that the Lockean model is the preferred or only model for justifying intellectual property theory.  Despite her argument that "Both Locke's approach to labor and
 his proviso are consistent with, and potentially explanatory of, one of the principal doctrines within current intellectual property law that preserves free speech interests and the public domain,"50 she ultimately admits that "Current intellectual prope
rty systems give rights in excess of what a Lockean model would justify."51  To the extent there is a disparity between the Lockean model and modern copyright law, she would attempt to limit the latter by the former; but one could just as easily conclude 
that the bundle of rights is not and should not be limited to what she sees as the Lockean limit, and that other principles are at work in the copyright sphere.52

	Second, even if a Lockean model is applied to copyright law, it is not at all clear that it dictates any greater protection of the "public domain" than do other already clearly established doctrines.  She concedes "[a]t the outset" that "the creation of 
virtually all intellectual products seems to meet Locke's test, and the proviso might appear to impose no constraints on intellectual property formation whatsoever."53  That is, since copyright protects only original works of authorship -- works that were
 not already in the public domain -- then the public domain is ipso facto not diminished by protecting new works.54  Although she concludes that "Originality . . . is not sufficient to guarantee that the proviso will be satisfied,"55 her argument is based
 upon several examples that even she admits "may seem far-fetched."56  She expresses concern for an "addicted public," for whom the existing public domain is effectively devalued because they become accustomed to the better product that was not previously
 available.57  As examples, she cites the case of an early mathematician who is "worse off" once Arabic numerals are introduced, because it becomes virtually impossible to make mathematical contributions using the older Roman numerals.58  (But wouldn't th
e Arabic numeral system clearly be an "idea" beyond the scope of copyright protection?)  Or she worries about the politician who gets the public to rely upon his promises and then tries to use copyright law to forbid quotation of his speeches to rebut him
.59  (But wouldn't this clearly be beyond the protection of copyright, both because it would be an attempt to monopolize an idea, and because fair use would clearly protect any interests of the public in political discourse?)  She argues that there are "s
ome ideas, some works of art," that "become 'part of me' in such a way that if I cannot use them, I feel I am cut off from part of myself."60  Gordon's concern, to the extent she refers to ideas, is clearly met by the idea-expression dichotomy.  Or, to th
e extent she goes beyond the ideas, then she seems to be making an incredible suggestion that one should be allowed to take works if one must do so in order not to be "cut off from part of" oneself.  I would prefer not to base a theory of copyright law up
on such extreme examples.

	Finally, Gordon argues that "when the public's claims conflict with a laborer's, the public's claims should prevail."61  Of course, in most cases -- outside the "far-fetched" examples she cites -- the rights of the individual will not conflict with the r
ights of the public.62  And even if rights in the public domain would somehow trump individual rights of creators, we would have to look at what is included in the public domain.  Gordon's characterization of the public domain includes those creations who
se period of protection has expired, works which have been "abandoned," works for which no protection existed ab initio, ideas, and federal works preempted from state protection.63  Her argument is that individual claims of copyright might have to be limi
ted in light of her public domain concerns, but she says little that would expand the public domain itself beyond the traditional categories.  

	After reviewing the various proposed arguments supporting a general theory of the public domain, by Patterson and Lindberg or by other authors, it would appear that there simply is no such general theory.64  Instead, there are several discrete contexts i
n which arguments about the public domain are encountered,65 each context raising different considerations that may have little or nothing to do with each other, and which cumulatively constitute what remains after one examines all possible sources of leg
al protection for works of authorship.66   What is gained by reifying the negative, and imagining a "theory" of the public domain?  If one wants to encourage a presumption against new forms or areas of protection, then one can do so without having to invo
ke a magical "public domain."  There are dozens of battlegrounds between those who want to expand intellectual property protection and those who want to limit it or narrow it in any given context.67  The arguments in each context should be kept separate, 
since they raise different policy issues. 

	Nevertheless, the individual issues sometimes tend to be elusive, and one's attitude toward them tends to be flavored as often as not by one's general attitude toward copyright law.  If those who find themselves continually on the side arguing for a limi
tation of protection need a rallying cry, perhaps it can be "the public domain."  The invocation may seem to add a moral overtone to the argument, to counterbalance the morally charged principles invoked time and again by the protectionists.68  In the fin
al analysis, however, "such vague rhetoric does little more than adorn the stage on which actual choices must be played out."69

III.  Categories of the Public Domain

	Authors who have written about the subject have tended to focus upon different categories of works that fall within the public domain.70  Any attempt at a general theory of the public domain is undermined by the fact that these different categories are o
r should be treated by different legal theories, or by different legal standards, or are justified by different public policies.  

	In any event, the unmistakable trend for each of these categories within the public domain has been to expand the scope of copyright, and to diminish the concomitant scope of the public domain.  Even if there should be a theory of the public domain, it i
s obviously a theory of decreasing, not increasing, importance.  

	Works historically in the public domain might be divided into the following categories:  (1) works for which the term of copyright has expired; (2) works that are otherwise eligible for protection, but in which copyright has been forfeited because of a f
ailure, either by design or by mistake, to comply with the copyright formalities in effect at the time; and (3) works that are non-copyrightable because they are categorically excluded from federal copyright protection.  In addition, some authors have use
d the term "public domain" to refer to (4) aspects of works (whether or not the works are copyrighted) that are not protected by federal copyright.  In these or other contexts, analysis of the "public domain" aspect of a work is often simply a substitute 
for what is essentially (5) an analysis of the preemptive scope of federal copyright law, or (6) an analysis of the retroactive effect of copyright statutes on works that have been previously published without copyright protection.  Let us consider each o
f the categories separately.

	A.  Public Domain Through Expiration of Copyright71

	The category of the public domain that is on the strongest historical and theoretical footing is the collection of works in which copyright has expired because the term of protection has run its full duration.  Such an outcome most clearly overlaps the f
requently cited justification for copyright, that it is intended not as a natural right, or primarily to promote private gain, but as a social contract, in which an author is granted exclusive rights in exchange for eventual dedication to the public domai
n.72  "Old" works are also by definition the ones in which the rights of an author are the least substantial -- particularly if the author is dead, and the rights of copyright are owned by someone who had no more to do with the creation of the work than d
id the public at large.  That works will eventually enter the public domain is arguably required by the Constitution, which empowers Congress to protect works of authorship only "for limited times."73 

	The problem with finding a "theory" of the public domain in this context is that it may provide a basis for some limitation upon the duration of copyright, but it has very little to say about what that duration should be.  Opponents of extending the dura
tion of copyright protection have usually invoked the limited times provision, or the presumed virtues of a large public domain, to argue against each extension;74 but, since no specific duration is called for in the Constitution, there is no real disagre
ement that copyrighted works should eventually go into the public domain, and that the value of old works in the public domain warrants the limitation of the term of protection.  

	In fact, in the 200 year history of American copyright, the duration has been extended from a term of 14 years in the copyright act of 1790 (assuming that all formalities were met, and subject to renewal for another 14 years) to a term of the life of the
 author plus 50 years in the 1976 Act.  The net effect of such a long term of copyright is that, during the author's lifetime, the economic value of the copyright is in many cases barely distinguishable from a perpetual copyright.75  The effect of the ado
ption of life plus 50 years as the duration of copyright is to limit the scope of the public domain to very old works indeed.76 

	B.  Public Domain Through Forfeiture of Copyright77

	A substantial portion of the public domain has consisted of otherwise copyrightable works that fail to qualify for protection, or that lose that protection, because of failure to comply with technical formalities.  The different formalities apparently ha
d different purposes.  The deposit requirement created a public record of all copyrighted works, and contributed to the national archives; the registration, renewal, and notice requirements presumably aided the user in determining who owned the copyright 
so that appropriate arrangements might be made for obtaining any necessary licenses or releases; the manufacturing clause was based upon the clearly national motive of protecting the domestic printing industry.  Yet, it was never clear why any of these ra
tionales required that the penalty for noncompliance be loss of the owner's copyright.  Indeed, the formalities, while retained for almost two hundred years, underwent a continual statutory and case law erosion, until their virtual elimination in 1988.78

	It is interesting to note the different spin put upon the concept of the "public domain" when a work is placed there solely because of a failure to comply with formalities.  In this context, the placing of a copyrighted work into the public domain repres
ents the "abandonment" or "forfeiture" of a valuable property right, and the courts, in fairness to copyright owners who were often subject to harsh penalties for relatively innocent omissions, were often creative in avoiding abandonment of copyright.79  
The remarkable aspect of the formal requirements is not that they have been eliminated, but that their final demise in this country should have been achieved with so much kicking and screaming.80 

	The following subsection will briefly review the elimination of the requirements for obtaining and retaining federal copyright protection.  A subsection will then be devoted to the user's perspective on the elimination of copyright formalities, including
 several related questions: how can copyright be abandoned now that there are no formalities?  And what is the proper theoretical framework by which to measure the effects of such abandonment?  Consideration of the issues will focus upon "public domain so
ftware" and so-called "shareware," concepts that have been particularly developed within the context of computer programs. 

	1.  Elimination of Formalities For Obtaining Copyright

	The first copyright act conditioned the grant of federal copyright upon the formalities of deposit and registration, and these prerequisites were strictly enforced.81  The 1976 Act specifically provides that such deposit and registration are not a prereq
uisite to copyright protection.82

	The 1976 Act did not, however, eliminate the requirement that copyright notice be placed upon substantially all published copies of a work,83 although the Act did provide three savings clauses that protected against some of the most notorious cases of fo
rfeiture.84  In 1988, in order to allow the United States to meet the standards of and join the Berne Convention,85 Congress finally eliminated even the notice requirement. 

	The 1909 Act, like prior Acts, had required that the copyright owner renew the registration at the end of the first copyright term in order to preserve the copyright.86  The renewal concept was eliminated in the 1976 Act for works created after January 1
, 1988.87  The death-knell for the renewal concept came in 1992 when Congress provided that renewal registrations would be automatic even for works created prior to 1978.88
	
	Together with the repeal of the manufacturing clause from the copyright act in 1986,89 the traditional formalities that the United States has imposed as a condition of copyright have thus been effectively eliminated.90  A large body of works that used to
 go into the public domain as a result of the copyright proprietor's intentional or inadvertent failure to act will simply no longer have that effect.  The sense of fairness to the copyright proprietor has apparently been recognized as outweighing any int
erest the public, or individuals, may have in increasing the public domain in this context. 

	2.  The User's Perspective: Public Domain Software and  Shareware

	a.  The User's Perspective Generally

	If the earlier copyright scheme was harsh on copyright owners, it was concomitantly convenient for copyright users.  Prior to the 1976 Act, a user always knew the copyright status of a work: if there were the requisite notice, then copyright was claimed 
in the work, and any otherwise infringing copying required permission from the copyright owner.91  If, on the other hand, there were no copyright notice on a publicly distributed copy, then the work was in the public domain, free for any use.92  The 1976 
Act, in section 405, cushioned the effect of omitting notice in several circumstances, but added uncertainty in determining if any of the exceptions applied.93

	With the elimination of the notice requirement under the Berne Implementation Act, the uncertainty of copyright status has been removed, except this time in favor of the copyright owner and to the detriment of the copyright user.  After 1989, don't bothe
r asking if copyright exists in a work: it does.  Don't bother to claim the status of an innocent infringer: there are no innocent infringers.94  With or without notice, the work is fully protected by copyright.  Yet, without notice, how is the user suppo
sed to discover the name of the copyright owner, in order to go about obtaining permission?  Owners might make things easy by identifying themselves in the copyrighted work, and are of course encouraged to do so by the provisions making notice permissive.
95  But if the owner doesn't use notice or any other identifying device, the user may be pretty much helpless in attempting to obtain permission.  There are no mechanisms, like those in prior section 405(b), to protect the frustrated user who decides to t
ake the chance and make an infringing use of a copyrighted work.

	The effect of this change is to redefine the entire relationship between a copyright owner and a copyright user.  One of the primary effects, if not purposes, of formalities was to thrust works into the public domain.  Works are no longer being so thrust
 into the public domain.  Perhaps we should therefore rethink any "theory of the public domain" that may have existed under prior law, because an important component of the public domain has now been eliminated.96  

	b.  Public Domain Software and Shareware 

	To the extent that copyright notice was usually omitted by mistake rather than design, then of course it seems fair to protect the copyright owner against inadvertent forfeiture of copyright.97  In at least some cases, however, copyright owners actually 
intended to omit notice, and thereby forever waive any claim to copyright.  The primary example is in the development of a tradition, among some computer software programmers, of donating their programs to the public domain.  This industry-created develop
ment was described in computer bulletin boards and periodicals, but received hardly any official sanction in the courts, or any real analysis by scholars.  Of course, not much analysis was really needed, so long as omission of notice thrust a work into th
e public domain. 

	Since the elimination of formalities, however, works are no longer thrust into the public domain by the omission of notice.  So the question is worth asking, how does or should a computer programmer place a work in the public domain, and how can a user k
now if that result has been accomplished in a particular case? Related questions arise in the context of "shareware," programs for which the author asks payment of a fee if the user uses the software beyond an initial tryout period.98  For example, could 
an author who "contributes" a computer program to the public domain ever "retrieve" it?  What if the "contribution" is equivocal or conditional?  Or could an author who sets conditions for the use of shareware ever change the conditions for use of the pro

	The first official recognition of the shareware concept, and at least some reference to public domain software, came in the Judicial Improvements Act of 1990, which authorized the creation of a national shareware registry.100  The same law also provided 
that computer copyright owners may donate public domain software as a gift to the Machine-Readable Collections Reading Room of the Library of Congress.101  The Copyright Office issued interim rules governing the registration of shareware and the donation 
of public domain works to the Library of Congress.102  Yet, the statute and rules only provide a registry system; they do not attempt to define the substantive rights when an author purports to grant works to the public domain or to set up the terms for p
ayment of shareware fees.  The problem is compounded by the lack of sophistication in many of the statements purporting to grant the work to the public domain or govern the shareware terms.103

	Some cases have suggested that there is a distinction between the "forfeiture" of copyright, through failure to meet statutory formalities, and "abandonment" of copyright by way of voluntary relinquishment of a known right.104  The test stated in the cas
es is that abandonment of copyright requires an intent to abandon and some overt act.  The overt act could previously be found in the failure to affix notice, but that act resulted in forfeiture notwithstanding the intent of the copyright owner.  Such omi
ssion of notice since 1989 clearly cannot be the basis for the finding of intent.  If a copyright owner additionally states that the work is dedicated to the public domain, should such a statement alone be sufficient to accomplish the objective? 

	In arguing that a voluntary dedication to the public domain should be enforced, one might analogize copyright law to personal property law generally: an owner is free to dispose of personal property as she pleases, including by way of abandonment.  There
fore, one ought to be able to dispose of a copyright in similar circumstances.  In the context of personal property law, abandonment requires an intention to abandon together with an act or omission by which such intention is carried into effect.  Accordi
ngly, at the very least, copyright should not be abandoned except under similar circumstances. 

	However, such an analogy overlooks the special place that copyright law has held among all forms of property law.  Clearly, the American trend in the recent statutes has been ever greater protection of authors against forfeiture of copyright, and almost 
a paternalistic attitude to protect authors against even voluntary acts that might transfer the copyright to another.105  Such unique sensitivity to the rights of authors, and the protection against transfers, even fairly compensated, should caution again
st too liberal an interpretation of abandonment.  

	Under section 204, a transfer of ownership of copyright "is not valid unless an instrument of conveyance . . . is in writing and signed by the owner of the rights conveyed."  If this statute of frauds prevents a verbal assignment of a copyright, even for
 consideration,106 then the much more severe relinquishment of copyright to the public at large -- probably without consideration -- should require no less than such a writing.107

	Section 405 protected innocent infringers in the case of pre-Berne works published without the requisite notice, yet the owner did not have to forfeit copyright against the rest of the world.  Perhaps an abandonment theory should incorporate the same pro
tections: to the extent any person in fact relies upon a dedication to the public, or the terms of a shareware statement or registration, that person should be protected in any infringement action.  However, the law need not protect other members of the p
ublic who have not relied upon or been misled by the abandonment.  In fact, the same result might be achieved by arguing that there should simply be no general recognition of abandonment in the case of copyright.  Theories of reliance or estoppel, apart f
rom a general theory of abandonment, could be invoked in favor of those persons who in fact rely upon an apparent abandonment, without preventing the author from reclaiming any rights as against parties who learn of the claim of copyright prior to underta
king infringing activities.   

	In any event, the elimination of formalities under the copyright law has protected against the unintentional forfeiture of copyright in works, but raised questions about how works should get into the public domain in the unusual cases where that result i
s intended.  I have suggested a cautious and protective approach to the abandonment of such rights, consistent with the new regime that has eliminated formalities; but the law in this newly ambiguous area will probably have to be developed on a case-by-ca
se basis.

	C.  Works Categorically Excluded From Copyright108

	Part of the public domain consists of works that are excluded from federal copyright protection not because their copyright has expired or been lost through a failure of formalities, but because they are categorically excluded from copyright in the first
 instance.  The clearest example is United States Government works, which are precluded from copyright under section 105 of the Act.109  Other examples would include other "public" documents, such as state judicial opinions, legislative enactments, and ot
her official documents beyond the range of section 105;110 some works of foreign origin in countries that do not have copyright relations with the United States;111 sound recordings made prior to 1972;112 and, at least at one time, obscene or otherwise sc
andalous material.113  The category might also include works that don't meet the threshold of protectability under the federal statute because they are not fixed in a tangible medium of expression, are not original, or fail to meet one of the other tests 
of inclusion.114

	Nevertheless, the range of works that go into the public domain because of categorical exclusion from the federal act has been diminishing throughout the entire two hundred year history of copyright in this country.  Only maps, charts, and books were pro
tected by the 1790 copyright act.115  Through the years, the list has been expanded to include historical and other prints,116 musical compositions,117 cuts and engravings,118 dramatic compositions,119 photographs,120 pamphlets,121 paintings and drawings 
and statuary,122 lectures,123 motion pictures,124 sound recordings,125 pantomimes and choreographic works,126 computer programs,127 and architectural works.128  Presumably, many of these works published prior to the date on which they were included within
 the federal statute went into the public domain.  With each extension of the federal statute into new subject matter, there has been a diminution in works that are treated as part of the public domain, to the point where there are few subject matter cate
gories that are automatically considered as part of the public domain.129  Although there was dissension in adding some of these works to the protected list, for the most part no "theory of the public domain" seems to have militated against the constant e
xpansion.

D.	"Public Domain" Aspects of Otherwise Copyrightable Works130 

	To the delight of some copyright scholars and the dismay of others, various developing theories of protection have begun encroaching upon works, or aspects of works, that might previously have been thought to be in the public domain.  This development ha
s taken place not only in the expansion of federal copyright law,131 but also in the expansion of other theories of protection under state law.  Examples include the developing right of publicity and recognition of character rights, an expansion of the la
w of unfair competition and trademark, and expanded use of state contract theory in contexts that touch upon intellectual property rights.  

	Among some authors, the concern about the "public domain" seems to be primarily a concern about this expansion of legal theories of protection.  For example, to Prof. Lange, the copyright law itself "is not the most important source of problems in the in
tellectual property field just now," since, "[w]ith its doubtful premises and its conceptual perplexities, the law of copyright nonetheless . . . seems to be in a state of reasonable equilibrium."  Rather, the

"principal problems in intellectual property law are to be found instead in a host of other, less well-worked-out, property equivalent theories which are appearing in sporadic, ad hoc fashion in the literature and . . . in state and federal courts across 
the country."132

Yet, caution in creating new causes of action has a long and respected history in the law, and can be justified by theories of precedent or judicial conservatism; such caution does not require that we build a fortress of the public domain in other context
s, particularly for determining the scope of rights that clearly fall within copyright or other protected spheres. 

	Some authors who are concerned about the public domain also seem to be describing aspects of works, otherwise copyrightable, to which the copyright owner's monopoly does not or should not extend.  For example, it is sometimes said that, while expression 
is copyrightable, "ideas" are "in the public domain."133  Similarly, Krasilovsky identifies what he calls "limited areas of public domain," including "special uses exempted from copyright such as juke box performance of music, church, school and other non
-profit performances of music, and mechanical reproduction rights for phonograph records of songs originally recorded before 1909," and in some countries "a special limited public domain in the right to translate."134  These "limited" areas of public doma
in, however, are clearly governed by the federal statute, and not by any independent status as part of the public domain.  

	It is a misapplication of the concept of the public domain to think of every limitation upon the exclusive rights of copyright as creating a limited public domain.  Indeed, one of the commonly recognized aspects of the public domain is that it represents
 a body of works that the public is free to use.  The right to make limited use of a work that is otherwise subject to restrictions is the hallmark of copyrighted works: after all, every copyright is only a set of rights subject to the right of the public
 to make at least some use of the work.  For example, the public has a right to make what would be a fair use of a copyrighted work: that does not create a separate "public domain."  What this does is recognize a public interest even in copyrighted works,
 which interest can be recognized by the creation of limitations upon the exclusive rights of copyright.135 

	E.  "Public Domain" as a Substitute for Preemption Analysis

		There exists, however, a basic conceptual problem in treating even the decreasing number of excluded categories as automatically part of the public domain.  Just because a work is not protected by federal copyright doesn't necessarily mean that it's in 
the public domain: it might be protected by some other state or federal law.  As stated by a student scholar,

The copyright power is in its strictest sense only a protective power, whereby Congress can shield authors from what would otherwise be unrestricted copying.  It is quite another matter, however, for Congress to pass a law requiring that a particular writ
ing be in the public domain, beyond the scope of state protection.  Although Congress might decide to pass such a preemptive law, it is suggested that it could not be based solely upon the copyright clause, which only allows Congress to protect intellectu
al property by granting authors and inventors exclusive use of their creations.  Legislation denying authors and inventors such exclusive use must instead be based on another congressional power, most likely the power over interstate commerce.136

	Much of the recent "public domain" discussion is actually a substitute for preemption analysis, which is concerned primarily with preventing the states from adding theories of protection in areas that have been left unprotected by the federal law.137  On
e need not adopt the extreme position of the student scholar to realize that, however one comes out, the issue in this context is basically one of preemption, and can be adequately analyzed in terms of preemption analysis.  The advantage of the existing r
ich literature on preemption138 is that it properly focuses the inquiry upon the relationship between federal and state regulation, and does not need a "theory of the public domain," which may only serve to confuse the issue. 

	Under the companion Supreme Court cases that have come to be identified as the Sears-Compco139 cases, the Court implied that works that were ineligible for federal copyright were indeed thrust into the public domain, beyond the power of the states to pro
tect except in limited ways.  However, in the case of Goldstein v. California, the Supreme Court held that noninclusion in the federal copyright scheme did not, or at least did not necessarily, have that effect.140  The Court concluded that Congress, in a
dopting the federal copyright act, had not prevented the states from also passing copyright or copyright-like laws, at least so long as the state law governed a category of works that was not specifically covered by the federal statute.  In other words, w
orks excluded from the federal act might be described as in the "public domain," if by that term one meant only that they were not covered by the federal act.  Such excluded works were not immune from state protection as a result of a magical "public doma
in" status conferred upon the excluded category by the act of Congress.141

	The Goldstein approach to preemption is confirmed by Section 301(a) of the 1976 Copyright Act, which provides that the rights that are "governed exclusively by this title" are all legal or equitable rights that are [1] equivalent to any of the exclusive 
rights within the general scope of copyright as specified by section 106 [2] in works of authorship that are fixed in a tangible medium of expression and come within the subject matter of copyright as specified in sections 102 and 103142  Confirming this 
two-part preemption test, section 301(b) provides that 

	"Nothing in this title annuls or limits any rights or remedies under the common law or statutes of any State with respect to -- 

	"(1) subject matter that does not come within the subject matter of copyright as specified by sections 102 and 103, including works of authorship not fixed in any tangible medium of expression; or . . . 

	"(3) activities violating legal or equitable rights that are not equivalent to any of the exclusive rights within the general scope of copyright as specified by section 106."143

	The above provisions of section 301 make clear that the copyright statute preempts state law only to the extent that state law covers rights and works that are under the federal statute.  If a work is not within the scope of federal protection, then ther
e is no federal copyright policy that thrusts the work into the public domain, and beyond the scope of any state protection.  If such a consequence is to follow, it must be because Congress, in passing the copyright statute, has "occupied the field" to su
ch an extent that any state protection of uncopyrighted works would be inconsistent with the federal scheme of protection.  As demonstrated by section 301, occupation of the field is specifically not Congress' intent.

	The analysis of preemption, and the effect of noninclusion in the federal act, is necessarily more complicated than the straightforward language of the statute might imply, and obviously will depend upon the particular category of work in question.144  F
or example, United States Government works are omitted from federal copyright protection not by implication, but by specific statutory provision.  Thus, it might be logical to assume that for such a category of works, Congress has indeed thrust all such U
nited States Governmental works into the public domain, and no state law could provide to the contrary.  The question that must be raised in each case is, why is the category omitted from federal protection?  If by design (as in the case of governmental w
orks), then a Congressional intention to force the work into the public domain may be logical; if by mere omission sub silentio (as in the case of sound recordings prior to 1972), then nonprotection under the federal act doesn't necessarily place the work
 into the public domain.  If the category of work is one over which Congress doesn't even have authority, then how does Congress get the authority to define the public domain status in the first place?  

	In any event, as the federal act has been expanded to cover new categories of works, the problem of preemption for excluded works has been reduced, since there are fewer excluded works.  And the statute and the Court seem to have adopted an attitude towa
rd the issue of preemption that allows categories of works excluded from the federal act to be protected by various state enactments, further whittling away at the range of works that might otherwise be considered in the public domain.145 

	F. "Public Domain" as a Substitute for Measuring the Retroactivity of Copyright Enactments

	Preemption analysis focuses upon the degree to which copyright or other federal law prevents the states from passing similar laws.  A related but separate issue is the degree to which federal copyright law might interfere with or limit other federal prot
ection.  The analysis requires a construction of two or more federal statutes, and a possible reconciliation if there are apparent inconsistencies in coverage.
  
	For example, there have been some problems in determining the potential interface between patent and copyright law, particularly in the areas of works of utility and design patents.146   There have been suggestions that some works of utility, such as com
puter programs, should not be eligible for copyright protection because the only appropriate protection is to be found in the patent law.147  If each of the federal statutes is passed pursuant to Congress' legitimate constitutional powers, any conflict be
tween the statutes does not raise constitutional issues, but only issues of interpretation.  Since neither federal statute "trumps" the other, the analysis should focus upon reconciling apparently inconsistent statutes, based upon the language used and th
e policies embodied in the statutes.148

	A related issue arises whenever Congress decides to change the scope of copyright protection.  As Congress has expanded the subject matter of copyrightable works, it has had to consider the effect of the expanded rights on works already in existence or a
lready published.  For works that were not protected under earlier law, but are protectable under a new law, the issue might be characterized as related to the "public domain."  Indeed, in the three times in this century that Congress has passed statutes 
greatly expanding the scope of protectable works, it has chosen not to expand the protection to cover pre-existing unprotected works, and it has accomplished this result by referring to such works as in the public domain.149  

	It is of course possible that Congress merely decided in each case that, as a matter of policy, it did not want to upset existing expectations based upon existing laws.150  But in using the phrase "public domain" to describe previously unprotected works,
 Congress may have implicitly suggested that it does not even have the power to resurrect works that it has previously left unprotected.  Indeed, it has been argued by some authors that Congress does not have power to grant copyright protection to works t
hat it has previously left unprotected.151  And yet, this is not an obvious proposition.  If federal copyright is entirely a creature of statute, shouldn't Congress have power to give or to take away protection as it sees fit?  

	It might be argued that the prohibition on retroactive copyright legislation can be found in the copyright clause's provision that Congress pass copyright laws "to promote the progress of science and useful arts."152  Since the clause apparently anticipa
ted the use of copyright to induce the creation of new works, any copyright law that resurrected the protection of works already created would be outside such constitutional purpose.  Yet, there are many cases in which rights in existing works have been e
xpanded, even though they can hardly be imagined to induce the creation of works that have already been created.  When Congress extended the term of existing copyrights in 1976 (or in previous interim statutes),153 expanded the scope of copyright to inclu
de the right of public display (presumably applying to existing works as well)154 or of public performance of musical works whether or not for profit,155 or added the cable compulsory license,156 or added certain moral rights for visual artists in 1990,15
7 all of which affected existing as well as future works, it expanded rights in a way that can hardly be said to "induce" the creation of new works.  It is simply incorrect to conclude that every aspect of a new copyright law can be justified if and only 
if it "promotes" the creation of new works.  It is enough that the copyright laws generally promote such progress.

	The issue of Congress' power to resurrect public domain works is generally a moot issue, precisely because Congress has specifically legislated on the cautious side.158  Yet, the issue recently warranted renewed consideration, when Congress debated wheth
er to make the Berne Implementation Act retroactive to works previously in the public domain.  The Berne Convention states that it is to apply to "all works which, at the moment of its coming into force, have not yet fallen into the public domain in the c
ountry of origin through the expiry of the term of protection."159  As concluded by an ad hoc working group that studied the Berne Convention, this section "may require some 'revival' or 'recapture' of copyright in works now in the public domain in this c
ountry."160  The committee, considering that the granting of retroactive effect might favor U.S. copyright interests in foreign countries, did not conclude that it was constitutionally impermissible to make U.S. adherence to Berne apply to works otherwise
 in the public domain.161  After the possibility of retroactivity was raised, it was just as carefully avoided by Congress' ultimate decision not to make the Berne Convention Implementation Act retroactive to works already in the public domain.162

	In short, it simply is not clear whether Congress is prohibited from reviving works that previously entered the public domain, and there are at least some convincing suggestions that it has power to revive works not previously protected.  In any event, i
ssues of retroactivity should not be determined by an ill-defined concept of the "public domain," but can be analyzed by reference to a richer literature dealing with retroactivity of legislation.163  The policies for and against retroactivity, like the p
olicies for and against preemption, require a careful consideration of many factors, and should not be decided by a presumed principle of law that would lump all "public domain" works as forever and irretrievably beyond the scope of Congressional protecti
on.  

	Even for statutes that affect criminal behavior or contract rights, most securely protected against retroactive legislation164 by the due process, ex post facto, and impairment of contracts clauses165 of the Constitution, it is hard to make absolute stat
ements.166  Even Nimmer, who argues that copyright laws generally cannot resurrect public domain works, concedes the possibility that some other constitutional provision, such as the treaty power or the power over international and interstate commerce, mi
ght give Congress power to recapture public domain works in the proper circumstances.167  While someone who has obtained a copyright might be said to have a "property" right or a "vested" right that should not be impaired by later legislation,168 the "rig
hts" of the public in so-called public domain works are hardly "vested" or "property" rights.169  The problem with characterizing the issue as one of the "public domain" is that it treats the problem with an all-or-nothing approach, and Congress may some 
day find a way (and a reason) to protect the legitimate interests of users who have invested in "public domain" works, while still giving back to authors some remaining rights in those works.170 

IV.  Relationship of the Public Domain to Other Copyright Principles

	The relationship between public domain analysis and certain other basic principles of copyright law has already been discussed.  For example, Prof. Litman sees the public domain as related to the concept of originality,171 and Prof. Lange's analysis prim
arily focuses upon the preemptive effect of federal copyright law in placing works into the public domain, beyond the range of state protection.172  I have already noted my disagreement with this linkage of public domain analysis to other copyright princi
ples.173

	The writings about the importance of the public domain seem to some extent to parallel other arguments that have been around since copyright was first recognized in English and American law; namely, arguments about the theoretical source or justification
 for copyright generally.  Many protectionists have tried to justify copyright law as based upon (1) natural rights174 or (2) moral rights175 or (3) property rights.176  Critics have tried to limit this approach by (1) gleefully citing the embarrassing ea
rly history of copyright law in England, which was intended as much to regulate publication as to promote it;177 (2) emphasizing the "social utility" theory of copyright, by which the only or main justification for allowing what is basically a "monopoly" 
is the ultimate good that is achieved for society by an increase in the number, maybe even the quality, of works destined for the public domain;178 and (3) in recent years, subjecting copyright protection to a strict economic analysis that would limit any
 benefit to the copyright owner that was not clearly justified by a concomitant increase in the public good (read "public domain").179  These arguments might be bolstered by (4) an explicit or implicit reference to principles, even constitutional standard
s, from outside the copyright clause, particularly the first amendment's guarantee of free speech.180  

	It is beyond the scope of this inquiry to review the entire history of the copyright law debate.  However, a few brief concluding observations might be in order.  

	American copyright law has suffered for two hundred years from the absence of a clearly articulated theoretical basis.181  Some might see this as some sort of oversight or conspiracy.  I don't think so.  I think that Congress and the courts have thereby 
maintained flexibility in the development of the law. 

	Physicists for years debated the nature of light, whether it was made up of waves or particles.  Finally, it came to be understood that light did not neatly fit into either theoretical framework, but that it evinced certain properties that could only be 
described by wave theory, and certain properties that could only be described by particle theory.182  It was neither, and it was both.  Just so, the different theories represent different ways of looking at copyright law that can be used to explain differ
ent aspects of it, but none of which is adequate to explain the whole, and neither of which trumps the other.183

	Although others may of course disagree, I think I detect a shift from a more regulatory framework to a more natural rights framework.184  Congress has in fact been aggressive in expanding copyright law throughout the past two hundred years.  While the ea
rly English or American laws might have been described as a minimal, maybe even begrudging, recognition of statutory rights, the early justifications could hardly explain the broad scope of copyright today.  Current law protects sound recordings and compu
ter programs, grants performance rights and rights to make derivative works, and even incorporates some modest moral rights protection.  The formalities that were for so long at the heart of American copyright law have been virtually abandoned.  American 
law, since the Berne Implementation Act, is as protective as almost any of the European laws that is said to have a moral rights basis.185  It should therefore now be possible to ascribe to American copyright law the broad theoretical basis that until rec
ent years may have been premature.

	The major pressure upon the theoretical underpinnings of copyright today comes from the new technologies -- audio and video tape recorders, photocopying machines, computers, and the digitization of information.  In this context, there is a certain appeal
 in claiming that the intellectual property system that was developed for the last technological revolution, the printing press, simply does not work: the public interest requires free public access.  And yet, it is precisely in these challenging times th
at we must resist throwing everything open to the "public domain."  It may be that some of the devices don't neatly fit, that some efforts at compulsory or blanket licensing or other devices186 are overbroad, just as many of the protective aspects of copy
right are underinclusive.  But we need to keep them in place until a better system can be found.  

	The fact of the matter is that the public interest is not necessarily served by the public domain.  In the early debates about American copyright law, James Madison observed that "[t]he public good fully coincides . . . with the claims of individuals" in
 copyright law.187  Copyright is not an absolute right, but a limited one: it has within it the limiting doctrines that protect the public interest.  

	It seems a little late in the game to be developing a "theory of the public domain" to put the brakes upon the expansion of intellectual property rights.  Of course, common sense should caution against expanding rights too quickly or too far, in this as 
in any other area of the law.  But copyright critics have plenty of theoretical and practical tools for curbing the expansion of intellectual property rights without an ill-defined "theory of the public domain."

	Each of these exceptions obviously raised many questions of interpretation.  For example, how many was "a relatively small number of copies" from which omission would not defeat the copyright?  Perhaps the most important and mysterious exception, however
, was the one that applied if registration for the work were made within five years after the publication without notice.  Whereas the work under prior law would have been thrust immediately and irrevocably into the public domain, the effect of this excep
tion was to forestall that result for five years.  During the five year period, the work was not in the public domain, but in a sort of limbo, presumptively destined for the public domain unless the copyright owner undertook positive steps to "retrieve" i
t.  
	The "innocent infringer" status of section 405(b) was also particularly mysterious in this context.  How could an infringer be "innocent," or act "in reliance upon an authorized copy or phonorecord from which the copyright notice has been omitted," or "b
e misled by the omission of notice," if it was clear that omission of notice did not yet thrust the work into the public domain?  Did the infringer have to make at least some effort to determine from the copyright owner, if it was known who that was, what
 the copyright owner's intentions were?  If not, the section would seem to reward infringers who consciously avoided diligent inquiry -- arguably not "innocent" infringers at all.  Or was the section primarily designed to protect infringers who were actua
lly unable to determine the true copyright owner precisely because there was no notice?  See also note 97, infra, citing cases that distinguished between intentional and inadvertent omissions in applying section 405.
	Although the mechanics of innocent infringement were far from clear, the whole mechanism for resolving disputes in the case of innocent infringers represented a considerable departure from previous law.  Instead of treating the copyright as wholly intact
 or wholly forfeited, the statute set forth a mechanism for protecting individual infringers who were misled by absence of notice, while protecting the copyright owner against the rest of the world.  For at least a five year period, the procrustean punish
ment for omitting notice from published works was held in abeyance.

 non-exclusive rights for the duration of the copyright, as determined by their contract, and non-exclusive rights after 56 years when it would be expected that the work would go into the public domain).  The rights of the "public" in public domain works 
are arguably no more compelling, and perhaps less compelling, than the rights of assignees and licensees who have usually paid for their rights based upon the duration of the rights conveyed.
